Terms of Use
Version 1.4 · Last updated 23 October 2026
1. Who we are and what these Terms cover
These Terms are an agreement between you and AuraPier Tech (“we”, “us”), the operator of this website, Client Hub and our other apps, including the Website Builder (the “Service”). Our contact details are in the footer of every page. By creating an account or using the Service you agree to these Terms, our Privacy Policy and our Refunds & Cancellation Policy. If you do not agree, do not use the Service.
2. Eligibility and accounts
- You must be at least 18 years old and able to enter a binding contract. If you sign up for an organisation, you confirm you are authorised to bind it.
- Give us an accurate email address and keep your password secure. You are responsible for activity on your account. Tell us promptly if you suspect unauthorised access.
3. Licences
The Service’s features (client management and email tools) need a valid licence key activated on your account. A key is single-use, personal to the account that activates it, and must not be shared, resold or transferred. Licences may be time-limited. We may revoke a licence that is used in breach of these Terms; we will tell you why where it is practical and lawful to do so.
4. Prices, payment and subscriptions
- Prices are shown on our pricing page in New Zealand dollars and include GST. The price, billing period, renewal and cancellation terms are shown before you pay. Card payments are processed by Stripe, and you also agree to Stripe's terms when you pay.
- If you buy a recurring plan, it renews automatically at the end of each period until you cancel. You can cancel at any time and keep access until the end of the period you have paid for.
- We will give you at least 30 days’ notice before a price increase applies to you, and you may cancel before it takes effect.
- Refunds are covered by our Refunds & Cancellation Policy, which forms part of these Terms.
5. Your data
You keep ownership of the client information and notes you enter (“Your Data”). You give us permission to store and process it only to provide the Service to you. You confirm you have the right to store Your Data and, where the law requires, that you collected it lawfully and have the right to contact those people. You are responsible for its accuracy and lawful use. You can export or delete Your Data at any time in Settings. See the Privacy Policy for how we handle personal information.
6. Email sending
- If you link an email account, you authorise us to send messages from it only when you choose to send them. You can unlink at any time.
- You are the sender of every message. You must comply with all applicable laws, including the New Zealand Unsolicited Electronic Messages Act 2007 (and, where relevant, CAN-SPAM, the Australian Spam Act, GDPR and PECR) and your email provider’s terms. In particular, you must have consent (or another lawful basis) to send commercial messages to each recipient.
- Messages sent through Client Hub automatically include your identity and an unsubscribe link, and people who unsubscribe are skipped in future sends. You must not remove or work around this, and must not resubscribe anyone who has not asked to be.
- You must not send spam, scams, harassing, deceptive, unlawful or malicious content, or messages to people who asked not to be contacted.
- Sending is rate-limited. Your email provider may apply its own limits or suspend your account if you misuse it; we are not responsible for provider action.
6A. UteWise: jobs, quotes and invoices
If UteWise (our jobs, quotes and invoices tool) is switched on for your account, these terms also apply to it:
- You are responsible for what you issue. The tool helps you create, send and record quotes, invoices and jobs. You are responsible for the accuracy of everything in them, including prices, descriptions, GST treatment, your business details and your bank account number, and for meeting your own tax, GST, record-keeping, consumer-law and contract obligations. The tool is a record-keeping aid. It is not accounting, tax or legal advice, and we are not your accountant, tax agent or lawyer. Check requirements with a professional.
- Customer links. Each quote and invoice has a private link that anyone holding it can open, in the same way as an email attachment. Share links only with the intended customer. You can void an invoice or delete a quote at any time (a deleted quote’s link stops working). Quote and invoice pages show your business details and the customer’s name, and are not indexed by search engines.
- Online acceptance. When a customer presses Accept on a quote, we record the name they typed and the time. This is a convenient record of their response, not a guarantee that it is legally enforceable. You are responsible for the terms you offer and for getting any further agreement you need.
- Locked and voided records. Paid invoices and accepted quotes are locked to protect your records (you can reopen them). Invoices that have been sent cannot be deleted, only voided, so your numbering stays complete.
- Keeping records. Tax law may require you to keep business records for several years. Our Service is not an archive: download copies you need (the CSV export, and Download my data in Settings). If you delete your account, your quotes, invoices, jobs and business details are deleted and the links you sent stop working.
- Your customers’ information. You must have the right to store your customers’ details and to send them documents. Emails sent from your linked account are sent only when you press Send and are your messages. They are transactional messages you choose to send, and you remain responsible for complying with the law when you send them.
- Free trial. If you sign up for UteWise from utewise.aurapier.com, you get a free 14-day trial with no card needed and no automatic charge. When the trial ends, your account is paused and your data is kept so you can continue if you choose to pay. UteWise costs $15 a month or $150 a year (NZD, GST included). A subscription renews automatically each period until you cancel; you can cancel at any time from Settings in your account and keep access until the end of the period you have paid for. You can instead pay once for 1 month or 1 year of access, which does not renew. We may change or end the free trial at any time. One trial per business.
- No liability for your documents. To the extent the law allows (and subject to section 11), we are not liable for losses caused by errors or omissions in documents you issue, unpaid invoices, rejected quotes or disputes with your customers.
6B. PantrySum: recipe costing (early access)
If PantrySum (our recipe costing tool) is switched on for your account, these terms also apply to it:
- Early access. PantrySum is an early-access product. Features may change, and things may not always work as expected. Tell us about problems and we will do our best to fix them.
- Costs are estimates. PantrySum calculates recipe costs, food cost percentages and suggested menu prices from the quantities, yields and supplier prices that you enter or import. Results are only as accurate as that information. Supplier prices are not fetched automatically, so it is up to you to keep them current. PantrySum is a planning aid, not accounting, tax or business advice. You decide your own menu prices.
- Supplier names. Supplier names such as Pak’nSave, Woolworths and New World appear only to label the prices you enter. PantrySum is not affiliated with or endorsed by any supplier.
- Free trial and access. If you sign up from the PantrySum page, you get a free 14-day trial with no card needed and no automatic charge. When the trial ends, your account is paused and your data is kept. While PantrySum is in early access, continued access is arranged with us directly. We will agree any price with you before you are charged. We may change or end the free trial at any time. One trial per business.
- No liability for pricing decisions. To the extent the law allows (and subject to section 11), we are not liable for losses caused by costings or menu prices based on PantrySum calculations.
6C. Platewell: food, weight and health tracking (early access)
If Platewell (our food, weight and health tracker) is switched on for your account, these terms also apply to it:
- Not medical advice. Platewell is a self-tracking tool. Its targets and figures are general estimates based on standard formulas and the information you enter. They are not medical, dietary or health advice, and they are not a substitute for a doctor, dietitian or other health professional. If you are pregnant or breastfeeding, have a medical condition, take medication that affects your weight or appetite, or have experienced disordered eating, talk to a health professional before using it to change how you eat.
- Safety limits. Platewell does not set daily targets below a minimum level, and does not set weight-loss targets for people whose BMI is below 18.5. These limits are a safeguard, not a guarantee that a target is right for you.
- Food data. Packaged food information comes from Open Food Facts, a free open database that anyone can edit, and from typical values for everyday foods. It may be incomplete or wrong. Check the label when it matters.
- Free trial and access. If you sign up from the Platewell page, you get a free 30-day trial with no card needed and no automatic charge. When the trial ends, your account is paused and your data is kept. While Platewell is in early access, continued access is arranged with us directly. We will agree any price with you before you are charged. We may change or end the free trial at any time. One trial per person.
- Your responsibility. To the extent the law allows (and subject to section 11), we are not liable for decisions you make about your diet, exercise or health based on Platewell.
6D. Home Kitchen: recipes, meal plans and shopping lists (early access)
If Home Kitchen (our household recipe, meal plan and shopping list tool) is switched on for your account, these terms also apply to it:
- Early access. Home Kitchen is an early-access product. Features may change, and things may not always work as expected.
- Prices and calories are estimates. Costs come from the prices you enter, and the prices in our starter recipes are rough estimates. Supermarket prices are not fetched automatically. Calories, shown when Platewell is also on your account, are estimates from typical food values and are not medical or dietary advice. Check labels, and allergens in particular, yourself.
- Shared lists. If you share a shopping list, the people you add can see it, add, change, tick and remove items, and see the name and email of the list’s owner and of everyone else it’s shared with. Only share with people you trust. The owner can remove people, and anyone can leave a list, at any time. If the owner deletes a list or their account, the list is deleted for everyone.
- Free trial and access. If you sign up from the Home Kitchen page, you get a free 30-day trial with no card needed and no automatic charge. When the trial ends, your account is paused and your data is kept. While Home Kitchen is in early access, continued access is arranged with us directly. We will agree any price with you before you are charged. We may change or end the free trial at any time. One trial per person.
6E. AuraPier Website Builder (early access)
If the Website Builder is switched on for your account, these terms also apply to it. In this section, “your website” means any website you build and publish with it.
- Prices and GST. Website Builder prices are in New Zealand dollars and do not include GST. If we are registered for GST, GST is added at checkout and shown on your invoice.
- What it is. The Website Builder gives you tools to design a website and have us host it. You are the publisher of your website. We provide the software and the hosting. We do not write, check or approve what you publish.
- Your content, and your responsibility for it. You own the text, pictures and other material you put on your website (“Your Site Content”). You promise that you have the right to use all of it (including photos, logos, fonts, music and text you did not create yourself), that it is accurate and not misleading, and that your website and the way you trade follow the law. That includes the Fair Trading Act 1986 (no misleading claims, prices, reviews or testimonials), the Consumer Guarantees Act 1993 (for goods and services you sell to consumers), the Privacy Act 2020, the Unsolicited Electronic Messages Act 2007, the Harmful Digital Communications Act 2015, the Copyright Act 1994, and any licence, registration or professional rules that apply to your trade. You are responsible for showing prices correctly, including GST where the law requires it. The templates, sample wording and tips in the builder are starting points only. They are not legal, tax or compliance advice, so check them for your business.
- Not allowed. Illegal content; scams or deceptive shops; fake reviews or testimonials; material that infringes someone else’s copyright, trade mark or privacy; hate, harassment or threats; sexually explicit material; malware or phishing; selling goods or services that need a licence you do not hold; pretending to be another business or person; and anything that could harm our servers or other customers’ websites.
- Your free address and your own domain. Until you connect your own domain, your website is at aurapier.com/your-name. That address belongs to us, not you. Names that are reserved or already taken cannot be used, and we may change an address, with notice, if it conflicts with someone else’s trade mark or the law. You can connect a domain you own by changing its DNS records at your registrar, following the steps in the builder. You buy and renew the domain with your registrar and pay them directly. It stays registered to you, we do not own it, and pointing it at us does not transfer it: you can point it somewhere else at any time. We are not responsible for your registrar, for a domain that lapses, or for DNS mistakes. HTTPS certificates are issued automatically by a third party and can take a little while, or fail, if your DNS is not right. If you do not want to set the domain up yourself, contact us and we will help. If a fee applies, we will agree it with you before we start. If we help, you authorise us to make the DNS and server changes needed for your website.
- Add-ons.
- Online bookings: a booking is an agreement between you and your customer. We provide the form and the list. We do not guarantee that a booking is honoured, that notification emails arrive, or that times do not clash with other calendars you use. Check your inbox regularly.
- Shop: you are the seller. We are not a party to any sale, we are not a payment provider, and we do not take or hold your customers’ money. You choose how you get paid (for example bank transfer, or a payment link from a provider you have your own account with) and you are responsible for delivery, refunds, returns, tax and your customers’ consumer rights. Order totals are worked out from the prices you enter. Shipping costs and any other charges are for you to state clearly to your customers.
- Reviews: show only real reviews from real customers, and do not edit them to mislead. You approve each one before it appears.
- Email list: you may only email people who have agreed to hear from you. The builder collects email addresses and lets you download them. It does not send marketing email for you.
- Visitor counter: counts page views by day and page, without cookies and without storing visitors’ IP addresses.
- Client admin panel: a private link that lets anyone holding it see and update the bookings, orders and messages for that website. Treat it like a password, share it only with people you trust, and reset it in the builder if it leaks.
- Basic SEO (optional extra). If you add Basic SEO, you pay the monthly price shown in the builder for each website that has it. We set up the basics for search engines: we check your page titles and descriptions, send your sitemap to Google, and help you set up a Google Business Profile. We do not promise any ranking, traffic or sales. Search engines decide what they show, and results take time. You can turn it off at any time, and the unused part of the month is credited to your next bill.
- Search engines. When you publish, we may tell search engines that accept IndexNow (such as Bing) about your public pages. You can turn this off in the builder. We cannot add your website to Google for you, because Google needs the owner to prove ownership. The builder gives you the files and steps to do it yourself.
- Information your visitors give you. Names, email addresses, phone numbers, bookings and orders that visitors submit on your website are collected for you. You are responsible for collecting them lawfully, for having a sensible privacy notice on your website (the builder offers a starting template, which is not legal advice), for keeping them secure once you download them, and for answering your visitors’ requests. We store this information on your behalf and do not use it for our own purposes (see the Privacy Policy). If we become aware of a privacy breach affecting it, we will tell you without unreasonable delay so you can meet your own duties.
- Fair use and capacity. Websites share our servers and are meant for small-business traffic. If you expect more than 25,000 page views a month, heavy shop or booking traffic, or large amounts of pictures or files, you must contact us before you publish so we can check that our servers can carry it. We may ask you to move to a larger arrangement, and we will agree any change of price with you first. Picture storage is limited (currently 60 pictures or 20 MB per website, and large pictures are shrunk when you upload them). If a website uses so many resources that it affects others, we may slow, limit or suspend it, after trying to contact you first where we can.
- Removing content. We may remove or suspend a website, or part of one, that we reasonably believe is unlawful, infringes someone’s rights, breaches these Terms, or puts our servers or other customers at risk. Where we can, we will tell you first and give you a chance to fix it. Where something is urgent, or the law requires it, we may act first. If someone makes a genuine complaint about your website, we may pass it on to you and, where the law allows, share your contact details with the person complaining. To report a website, contact us at the address in the footer.
- Free trial, plans and when you stop. If you sign up from the Website Builder page you get a free 30-day trial with no card needed and no automatic charge. One trial per person or business, and we may change or end the trial at any time. Plans and payment. The plans and their prices (in NZD) are shown on the Website Builder page before you pay. Plans are paid monthly by card through Stripe and renew automatically until you cancel. You can cancel at any time under Billing in the builder and keep access until the end of the period you have paid for. We give at least 30 days’ notice before a price rise (see section 4). Your website stays online only while your plan or trial is active. Custom builds are different: we design and build the website for you for a one-off price that is agreed with you before we start, and larger or more complex work can cost more. Custom builds are arranged only by contacting us, and cannot be bought on our website. If your trial or subscription ends, your website goes offline after 3 days. We then keep your website and its data (including bookings, orders, messages and pictures) for 30 days so you can come back. If you have not renewed by then, it is permanently deleted, and we email you before that happens if we can. If you delete a website or your account yourself, it is deleted straight away from our live systems. Download anything you need first. Traces may stay in server logs or backups for a short time.
- Availability. Many websites share our servers. We do not promise uninterrupted service or a particular uptime, and we do not promise search-engine ranking, visitors or sales. Keep your own copy of your text and pictures (Download my data in Settings).
- Our materials. The templates, layouts, code and AuraPier branding are ours. While you have an active plan you may use them on your website. A small “Made with AuraPier” credit may appear in the footer unless your plan removes it.
- Responsibility. To the extent the law allows (and subject to section 11), we are not liable for lost sales or bookings, domain or DNS problems, or claims about Your Site Content, and you will cover us for claims and losses that arise from Your Site Content or from your breach of these Terms.
7. Acceptable use
Do not attempt to access other people’s data, probe or disrupt the Service, bypass licence or security controls, reverse engineer it (except where the law allows), or use it for anything unlawful.
8. Our intellectual property
We and our licensors own the Service, website, brand and software. We grant you a limited, non-exclusive, non-transferable right to use the Service for your own business while you hold a valid licence. Third-party components are used under their own licences, listed on our third-party software page.
9. Third-party services
The Service connects to services we do not control, such as your email provider (Google, Microsoft, Yahoo, Apple or your own mail server). Their terms and privacy policies apply to your use of them, and we are not responsible for their availability or conduct.
10. Availability
We aim to keep the Service running but do not promise it will be uninterrupted or error-free. We may change, suspend or discontinue features, giving reasonable notice where we can. Keep your own copy of anything you cannot afford to lose (you can export it from Settings).
11. Your consumer and legal rights
Nothing in these Terms limits your rights under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, the Privacy Act 2020 or any other law that cannot be excluded. If you acquire the Service for the purposes of a business, you and we agree that the Consumer Guarantees Act 1993 and sections 9, 12A and 13 of the Fair Trading Act 1986 do not apply, to the extent the law allows contracting out.
12. Limit of liability
To the extent the law allows, and subject to section 11: (a) we are not liable for indirect or consequential loss, loss of profit, loss of business or goodwill, or loss of data, or for email that is delayed, undelivered or misdelivered, or action taken by your email provider; and (b) our total liability to you for all claims relating to the Service in any 12-month period is limited to the fees you paid us for the Service in that period. This section does not limit liability that cannot lawfully be limited, including for fraud or wilful misconduct.
13. Suspension and ending the agreement
You may stop using the Service at any time and ask us to delete your account (or delete it yourself in Settings). We may suspend or end your access if you materially breach these Terms, or if the law requires. Where practical we will give you notice and a chance to fix the problem first. On deletion, Your Data and your linked mail connection are removed as described in the Privacy Policy. Sections that by their nature should continue (for example 5, 6, 11, 12 and 14) continue after ending.
14. Changes to these Terms
We may update these Terms. For material changes we will give you at least 14 days’ notice by email to your account address or by a notice in the app before they take effect. If you do not agree to a change, you may cancel before it takes effect and receive a refund for any period you have paid for but cannot use. Continuing to use the Service after the change takes effect means you accept it.
15. Governing law and disputes
These Terms are governed by New Zealand law. The New Zealand courts have non-exclusive jurisdiction. Please contact us first so we can try to resolve any complaint quickly and fairly.
16. General
If a part of these Terms is unenforceable, the rest still applies. These Terms, with the Privacy Policy and Refunds & Cancellation Policy, are our whole agreement about the Service. We may contact you at your account email address for notices.
17. Contact
